Quick answer
Do I need a Shops and Establishments registration in Tamil Nadu?
A shop, showroom, restaurant, office or any other commercial establishment in Tamil Nadu that employs 10 or more people must register with the Labour Department within six months of opening, online at labour.tn.gov.in. Smaller establishments do not register; the Act asks them only to intimate the department, and no form for that has been prescribed yet. The certificate costs ₹100, is issued within 24 hours, and doubles as proof of business for your bank. The Act's rules on working hours, weekly holidays and leave apply from day one, whether or not you are registered.
Who must register
The Tamil Nadu Shops and Establishments Act 1947 covers shops, commercial establishments, restaurants and eating houses, and places of entertainment in the State's notified areas, which include Chennai and every other town of any size. Under Section 3 of the Act, amended in 2018 and in force since 2 July 2024, every establishment employing 10 or more workers must apply for registration within six months of starting. A retail showroom with 12 sales staff, a cafe with 10 kitchen and floor staff, or an IT services office with 15 employees are all covered.
Fewer than 10 workers? You do not register. Section 3-A asks you only to intimate the Labour Department that you have started, in a form to be prescribed, and the 2024 rules have not prescribed one or set a fee for it. So there is nothing to file today. The day your headcount reaches 10, you must apply for registration under Section 3.
How to apply
The application is online only at the Tamil Nadu Labour Department portal, and the certificate is issued within 24 hours. You will need:
- Employer details: name, designation, PAN and Aadhaar, and the firm's constitution document (partnership deed or incorporation certificate) where there is one
- Establishment details: name, address, nature of business and date of commencement
- Proof of premises: rental agreement, lease or ownership document
- Employee numbers, split into men, women and young persons
- A photograph of your name board in Tamil, which the rules require
The government fee is ₹100, paid online with the application in Form Y. The certificate, Form Z, is issued online within 24 hours, and if it is not, the rules treat it as granted. It must be displayed at the premises.
What the certificate is used for
Banks accept it as proof of business when opening a current account, especially for proprietorships and partnerships that have no incorporation certificate. It is also what a labour inspector asks for first. It is separate from GST registration, Udyam registration and the Corporation trade licence; none of them substitutes for another.
The rules that come with it
Registration is the easy part. The Act also sets how you run the place: no more than 8 hours a day and 48 hours a week for any employee, overtime at double the ordinary rate, one paid holiday every week, paid leave each year, and wages paid by the due date. Attendance, wage and leave registers must be kept, and the certificate and holiday notice displayed. Establishments employing 10 or more people may stay open round the clock under the State's standing permission, renewed in May 2025 for three years, subject to conditions on shifts, a weekly holiday by rotation, and the safety and transport of women employees working after 8 pm.
Keep it current
Any change in the name, address, ownership or number of workers must be intimated within 30 days, and the certificate is amended or reissued, again within 24 hours. Closure must be intimated within 30 days. There is no renewal: the five-year validity written into the 2018 amendment was dropped in 2021 before it ever took effect, so the certificate stands until the particulars change or the establishment closes.
Common questions
I run a consultancy from home with two staff. Do I register?
No. With fewer than 10 workers the Act asks only for an intimation, and no form for it exists yet. If your bank insists on a Shops and Establishments certificate, talk to us. The position changes the day you hire your tenth person.
Do I need this before I can get GST?
No. GST registration does not ask for it. But your bank may ask for it before opening the current account you need for GST.
Is it the same as the trade licence?
No. The trade licence comes from the Corporation or municipality under local body rules. Many showrooms and restaurants need both.
