Quick answer
Should I register a private limited company or an LLP?
Choose a private limited company if you plan to raise investment or offer ESOPs, and an LLP if you want limited liability with lower yearly compliance. Registration usually takes 7 to 15 working days, and there is no minimum capital.
Which structure suits you?
| Structure | Owners needed | Good for | Yearly compliance |
|---|---|---|---|
| Proprietorship | 1 | Small single-owner businesses | Light: income tax return, GST if registered |
| Partnership firm | 2 or more partners | Family businesses and small partnerships | Income tax return, audit above limits |
| LLP | 2 designated partners | Service firms and professionals who want limited liability | Two LLP annual filings and an income tax return. Audit only above ₹40 lakh turnover or ₹25 lakh contribution |
| One Person Company | 1 member plus a nominee | Solo founders who want a company | ROC filings and a yearly audit |
| Private limited company | 2 directors and 2 shareholders | Startups planning to raise money, and growing businesses | ROC filings, board meetings and a yearly audit |

Common questions
Is there a minimum capital to start a private limited company?
No. There is no minimum paid-up capital requirement. You can start with a small amount and increase it later.
Can I use my home as the registered office?
Yes. You need a recent utility bill and a no objection letter from the owner of the house.
How long does company registration take?
Usually 7 to 15 working days, depending on name approval and processing time at the Ministry of Corporate Affairs.
Do I need an auditor for my private limited company?
Yes. Every company must appoint a statutory auditor, who must be a practising Chartered Accountant, within 30 days of incorporation, and its accounts are audited every year whatever the turnover. An LLP needs an audit only if its turnover is above ₹40 lakh or its contribution is above ₹25 lakh. We keep your books audit-ready and work with the auditor; the audit report is signed by a practising Chartered Accountant.
What do I need to do after registration?
Open a bank account, appoint the first auditor, file the commencement of business declaration and keep up with yearly filings. See our ROC annual compliance service.
